WOLF THEISS ADVISES AMÉRICA MÓVIL ON PURCHASE OF SHARES IN TELEKOM AUSTRIA
Wien (OTS) - América Móvil, S.A.B. de C.V. ("AMX") announced that
it has today entered into an agreement with Marathon Zwei
Beteiligungs GmbH, a wholly owned subsidiary of RPR Privatstiftung,
the private trust set up by investor Ronny Pecik to acquire
approximately 21% of the outstanding shares in Telekom Austria AG.
AMX has today acquired approximately 5% of the outstanding shares
in Telekom Austria and will acquire an additional approximately 16%
stake upon receipt of certain governmental approvals and other
authorizations customary for such type of transaction. The
acquisition of this additional stake is expected to close during
2012.
As of today, after giving effect to the approximately 5%
acquisition, AMX total interest in Telekom Austria is 6.7%. Upon the
consummation of the acquisition of the additional 16% stake, the AMX
total interest will increase to a an stake of approximately 23%. This
acquisition positions AMX as a long-term strategic investor in
Telekom Austria. AMX expects to develop a constructive relationship
with Telekom Austria's management as well as its shareholders. The
transaction announced today is part of the AMX geographic
diversification strategy and provides an attractive presence in
Central and Eastern Europe. AMX is confident in Telekom Austria's
overall potential for development.
Under the lead of Partners Clemens Philipp Schindler and Dieter
Spranz (both Corporate/M&A), Wolf Theiss advised AMX in all legal
aspects relating to this investment, together with the New York-based
law firm Wachtell, Lipton, Rosen & Katz. Considering the operations
of Telekom Austria in CEE and SEE, Wolf Theiss rendered legal advice
not only in Austria but also Bulgaria, Croatia, Macedonia, Serbia and
Slovenia. Further key partners on the team were Horst Ebhardt
(Corporate/M&A), Markus Heidinger (Finance and Regulatory Banking)
and Kurt Retter (Regulatory Telecom). In addition to the
aformentioned partners, Counsel Jochen Anweiler (Merger Control) as
well as the following Senior Associates were substantially involved
in this transaction: Katharina Bertinger (Corporate/M&A), Christine
Fidler-Fassmann (Regulatory Telecom), Astrid Hartmann (Banking
Regulatory), Hartwig Kienast (Corporate/M&A), Barbara Jakubowic

(Capital Markets).
Partner Clemens Philipp Schindler is delighted about this

narrow timeframe". The purchase of this stake in Telekom Austria is
the first major investment of AMX in continental Europe, where it
currently also launched a partial offer to acquire shares in
Netherland-based KPN.

As of March 31, 2012, it had 246 million wireless subscribers and
59.7 million fixed revenue generating units in the Americas.
Telekom Austria is the largest telecommunications company in
Austria and currently provides telecommunications services in
Austria, Belarus, Bulgaria, Croatia, Liechtenstein, Macedonia, Serbia
and Slovenia. As of 31 March 2012, it had 20.3 million wireless
subscribers and 2.6 million fixed access lines.
