Binder Grösswang advises Tset founders on A2MAC1’s investment
Vienna, 29 October 2026 – Binder Grösswang advised the founders of Tset Software GmbH on the sale of a majority stake to the international technology group A2MAC1. The transaction was closed at the end of August 2026. For Binder Grösswang, the deal also marks another milestone in its long-standing legal advice of the Austrian software company.
Binder Grösswang's team was led by M&A Partner Christoph Schober and Attorney at Law Florian Höllebauer (both Corporate/M&A). Together with a multidisciplinary team, they advised the founders Sasan Haji Hashemi, Gerd Sauermann and Andreas Tsetinis throughout the entire transaction process – from structuring and contract negotiations to regulatory and tax matters and the successful closing.
Founded in 2018, Tset has specialised in a key area of industrial value creation with its product cost management platform: the data-driven management and optimisation of product costs. Its technology combines cost engineering expertise, integrated data management and AI-powered automation and is used by international clients in the automotive and manufacturing industries.
With the investment by A2MAC1, which is backed by the private equity platforms Providence and Five Arrows, Tset is entering its next phase of international growth. The French technology provider is one of the world’s leading companies in automotive benchmarking and costing intelligence. Combining A2MAC1’s benchmarking and data expertise with Tset’s cloud-based costing and simulation technology is intended to create an integrated costing intelligence platform for the international automotive and manufacturing industries.
“Having had the opportunity to advise Tset through several stages of its development and growth, and now to support and advise the founders in taking this important step, makes this transaction particularly significant for us. In transactions of this kind, technology companies need not only M&A expertise, but a team capable of rapidly bringing together, in particular, the corporate, regulatory and tax aspects while also understanding the broader business context,” says Christoph Schober, M&A Partner at Binder Grösswang.
The transaction was signed at the end of May 2026. Following the fulfilment of the conditions precedent, including the FDI clearance process, the transaction was successfully completed at the end of August 2026.
An experienced team for complex tech transactions
In addition to Christoph Schober and Florian Höllebauer, the transaction team included Sung-Hyek Hong and Jakob Pfanner (Associates, Corporate/M&A).
Regulatory advice, including the FDI clearance process, was provided by Regina Kröll (Partner, Regulatory) and Jakob Brus (Associate, Regulatory). Larissa Wagner (Attorney at Law, Tax Law) and David Lembacher (Associate, Tax Law) advised on the tax aspects of the transaction, while Hellmut Buchroithner (Counsel, IP/IT) advised on technology and IP-related matters.
The buyer was advised by DORDA Rechtsanwälte, led by partner Martin Brodey and attorney at law Ulrich Weinstich.
