AIG Century GmbH & Co. KGaA today informed AIRE GmbH & Co. KGaA of its intention
to enter into negotiations with our company relating to a merger under the
German Transformation Act (Umwandlungsgesetz) with AIRE GmbH & Co. KGaA as
transferring and AIG Century GmbH & Co. KGaA as surviving entity.
Simultaneously, AIG Century GmbH & Co. KGaA requested that in connection with
the contemplated merger the general meeting of our company resolve on the
transfer of shares of all other shareholders of our company to AIG Century GmbH
& Co. KGaA against adequate cash compensation. AIG Century GmbH & Co. KGaA
stated that as of today it holds 93.59% of the shares in AIRE GmbH & Co. KGaA.

The general partner of AIRE GmbH & Co. KGaA intends to enter into negotiations
with AIG Century GmbH & Co. KGaA about a merger agreement in the context of
which a exclusion of the minority shareholders of AIRE GmbH & Co. KGaA shall
take place.
