On 20 July 2012 the voting rights held by FMR LLC, Boston, Massachusetts, USA,
crossed above the threshold of 5% of the voting rights in Software AG,
Uhlandstr. 12, 64297 Darmstadt, Germany. On that date, FMR LLC held 5.06% of the
voting rights in Software AG, arising from 4,393,140 voting rights.

All voting rights in Software AG were attributed to FMR LLC pursuant to Section
22 (1), sent. 1 no. 6 in connection with sent. 2 WpHG. The voting rights were
attributed to FMR LLC inter alia from Fidelity Low-Priced Stock Fund, being a
shareholder holding 3% or more of the voting rights in Software AG.
