Amendment of the Agenda of the Annual General Meeting
of the shareholders of Intercell AG

taking place on Friday 25, 2012, at 2 p.m. CET at Studio 44, Rennweg 44, 1030
Vienna, Austria.

The Company has published the invitation to its Annual General Meeting together
with the agenda on April 27, 2012. Due to the placement announced on May 14,
2012 of 6,591,742 new shares out of the authorized capital, an amendment of the
agenda regarding the revocation of the existing authorized capital and the
resolution on a new authorized capital has become legally necessary. The
management board and the supervisory board therefore change the item 5. of the
agenda, announced on April 27, 2012, as follows:

The entire item 5. of the agenda, "Revocation of the existing authorized capital
and resolution on a new authorized capital together with the amendment of the
Articles of Association" shall be deleted without replacement.

Reference is furthermore made to the invitation dated April 27, 2012 and its
publication in the in the Official Gazette of the Wiener Zeitung.
