On the basis of Section 327 of the German Stock Corporation Act (Aktiengesetz -
AktG), Robert Bosch GmbH today submitted to the management board of ersol Solar
Energy AG the request that the shareholders' meeting of the company may resolve
the transfer of all shares of the remaining shareholders (minority shareholders)
to Robert Bosch GmbH as the main shareholder in return for an adequate cash
compensation (so-called squeeze-out). Robert Bosch GmbH holds more than 95 % of
the issued share capital of ersol Solar Energy AG and therefore is the main
shareholder of the company according to Section 327a para. 1 cl. 1 AktG. The
resolution shall be taken in the next annual general meeting of ersol Solar
Energy AG which is intended to take place on 23 July 2009.
