IFTV France and MNH operates share swap

Paris (euro adhoc) - Paris (euro adhoc) - Motion Network Holding PLC (MNH),
parent company of Motion Network TV, the first 24/7 free movie channel in
Europe, operated a share swap over IF Television, a French TV broadcaster with
all government authorizations and Licenses. IFTV will operate early January on
satellite, cable, ADSL and offers movies programmes from recent productions. The
deal consists in shares cross sharing; MNH will acquire 25% of IFTV. IFTV will
acquire 10% of MNH.
IFTV has been evaluated at 25M euros according to Bryan Garnier fund analysts or
two times revenues and will broadcast over French speaking territories and on
mid term in Latin America. The business model is quite different as soon as IFTV
is a pay TV with a subscription model. The aim is to reach 300 000 subscribers
for the Year 1, with a subscription price of 5 euros monthly, the actual
breakeven of IFTV is 10M euros/year
Synergies are numerous, Decrease of the risks connected to the production of
News content, Film acquisition?s network to be shared, VOD exploitation in
French speaking territories starting in January, easier financing solutions
thanks to a better valuation of the joint venture and new territories to be
exploited in South America; the Management of IFTV, Mr Daniel Castro (ex Tribeca
Films studio NY) has been working for the past thirty years as manager of
different media companies in Latin and North America.
MNH and IF television will cooperate firstly on financing, IFTV brings its
equity fund on the table and MNH will bring its bank financial engineering
giving a 20M euros fundraising before the end of the year. MNH will start
broadcasting in Ukraine December 15th. Territories of Russia, Croatia, Serbia,
Bosnia and Slovakia will follow early January.
