The resolution passed by the general meeting on January 17, 2007, on the
transfer of the shares held by the remaining shareholders (minority
shareholders) of Bayer Schering Pharma AG to Bayer Schering GmbH (principal
shareholder) for an appropriate cash consideration in the amount of EUR 98.98
per share was today recorded in the company's record in the Commercial Register
of the local court of Charlottenburg.

With entry of the transfer resolution in the Commercial Register all shares of
the minority shareholders of Bayer Schering Pharma AG have effectively passed by
operation of law to Bayer Schering GmbH. Pursuant to this, the shares held by
minority shareholders substantiate exclusively entitlement to the aforementioned
cash consideration.

Bayer Schering Pharma AG will shortly be withdrawn from the stock exchange.
