Today the board of management at Conergy AG (ISIN DE 00060 40025) presented the
supervisory board with an appropriation of earnings proposal for verification.
According to this proposal a portion of the net profits from 2005 should be used
to pay a dividend of EUR 0.30 per share on all of the 10 million shares that are
entitled to a dividend. Furthermore, in view of the extraordinarily positive
share price development of Conergy AG, the board of directors proposes that the
annual general meeting agrees on a stock split. The stock split should be
carried out to increase the capital stock of Conergy AG from corporate funds.
These funds previously stood at EUR 10,000,000.00 and are to be increased by EUR
20,000,000.000 to EUR 30,000,000.00 by issuing 20,000,000 new individual share
certificates with dividend entitlement from 1 January 2006 onwards. For every
share acquired the shareholder will receive two additional shares at no extra
cost.
