Hamburg, February 28, 2006. PANDATEL AG (ISIN DE0006916307), listed on the
Frankfurt Stock Exchange (Prime Standard), announces that, after completing his
tasks, Mr. Thomas Becker, who joined the company in August 2005, plans to cease
to be interim Management Board Member of the company effective as of April 30,
2006.

Mr. Becker came to Pandatel at a challenging time with the mission to find new
strategic direction. He was significantly involved in the introduction of its
new major shareholder, Dowslake Venture Ltd, and was instrumental in planning
and initiating the restructuring of the enterprise and the upcoming contribution
of Dowslake Microsystems Corp. into PANDATEL AG. After the fulfillment of his
engagement, Mr. Thomas Becker will continue to act as a consultant for PANDATEL
AG, in order to promote its strategic reorientation in Germany.
