Eindhoven, April 18, 2005 - On April 15, 2005 Catalis N.V. has signed
a Letter of Intent to acquire 100% of the shares of competitor Check
Disc Europe, Warsaw, Poland. It is targeted to close the transaction
within two months.

As part of the transaction Testronic Laboratories Ltd., London, a
100% subsidiary of Catalis N.V., will assume operating responsibility
for Check Disc Europe from today, 18th of April, 2005. Therefore
Check Disc Europe’s entire activity will positively contribute to
Catalis N.V.’s´ group results with immediate effect.

Through the transaction Catalis N.V. will increase its capacity in
Europe by more than 25% and in parallel benefit from significant cost
advantages. Catalis N.V. does not rule out to transfer production
partly from London to Poland in the medium term and expects cost
benefits to materialize as early as 2005.

Parties have agreed not to disclose the purchase price. Catalis N.V.
is financing the acquisition from operating cash flows.
