Wienerberger acquires majority stake in F. v. Müller Dachziegelwerke

Approx. Euro 40 million for strategic development
in roof tile business

Wienerberger is continuing its profitable growth course this year,
and announces the next expansion step in its roof tile business. A
contract was signed on March 15 for the acquisition of a majority
stake in the well-known German company
F. v. Müller Dachziegelwerke GmbH & Co. KG by Wienerberger
Ziegelindustrie GmbH Germany. "This investment represents an
important step in the strategic development of our German roof tile
business", commented Johann Windisch, member of the Managing Board of
Wienerberger AG with responsibility for the Central-West Europe
segment. The transaction volume, including restructuring and plant
optimization, totals roughly Euro 40 million.

Synergies and potential in product and export areas

This family-owned company with plants in Eisenberg (Rheinland
Pfalz) and Görlitz (Saxony) is one of the major clay roof tile
producers in Germany with revenues of Euro 34 million and 420
employees. With respect to the quality and range of its product
lines, the company also holds a leading position in Europe. "We have
a strong partner at our side with F. v. Müller Dachziegelwerke. The
broad-based product line includes moulded and flat tiles, facade
boards and accessories as well as decorative roof finals and ridges
and roof tiles for the preservation of historical buildings. It
therefore represents an ideal addition to our existing Wienerberger
products", added Windisch. In addition to the company's extensive
high-quality product lines, Windisch sees other opportunities for
development: "The existing structures of the Wienerberger Group will
allow us to realize widespread synergies in production and sales. We
will also be able to use the location of Görlitz near the Polish
border to increase exports to Poland and other neighboring countries,
and substantially improve our market position in this region."

Integration in strong clay roof tile group

This investment by Wienerberger will strengthen the financial
basis of F. v. Müller Dachziegelwerke for future development. And it
will link the company with the international network of Wienerberger
roof tile producers and permit the use of extensive synergies.

Experienced management team

Wienerberger will also rely on the wide-ranging expertise of the
former sole owners in the future. Hans Dietrich Freiherr Leuckart von
Weissdorf will serve as a consultant for the integration process and
make his many years of experience available to management. Dominik
Freiherr Leuckart von Weissdorf will direct the company together with
Klaus Hoppe of Wienerberger Germany.

This transaction is subject to approval by federal cartel
authorities.
