Möglingen, 27 January 2005. - The Management Board at the
Möglingen-based USU Software AG (ISIN DE000A0BVU28) has signed a
letter of intent to acquire OMEGA Software GmbH, Obersulm. OMEGA
develops and markets software products in the field of hardware and
software administration, in combination with a convenient helpdesk.

For USU Software AG, the objective of the planned acquisition of
OMEGA is expanding its target market and product range in the area of
IT-Controlling, especially in the public sector and for SMEs. In
addition to the Federal Labour Office and the German Areospace Centre
OMEGAs 120 customers include Weleda AG, Peter Hahn GmbH, Heckler und
Koch GmbH and Drees und Sommer AG.

In the 2003/04 financial year (1 October 2003 EUR 30 September 2004),
OMEGA generated sales of approximately EUR 2 million and a positive
net result.

The purchase price for OMEGA is to be paid partly in cash and partly
in shares of USU Software AG from a capital increase which is yet to
be implemented. It will contain a considerable success-related
portion. The overall purchase price will be a low seven digit figure
in euros.

The acquisition of OMEGA by USU Software AG is to take place in the
first quarter of 2005.
