Hanover, February 14, 2008. Pandatel AG (ISIN DE0006916307 - General Standard,
Frankfurt Stock Exchange). Pandatel AG has closed an asset sale agreement with
Arcutronix GmbH, Hanover, which supervisory board approved on 13 February 2008.
Arcutronix GmbH is financed by Keytronix, Austria. The Agreement was reached
after tough negotiations and according to the agreement, Arcutronix will pay
EUR 250,000.00 to purchase Pandatel's MACS4000, System 2100 and certain other
stand-alone connectivity and last mile product rights together with remaining
materials and production equipment. Via the purchase, Arcutronix assumes all
customer and supplier obligations associated with purchased product rights.

The sold product rights comprise the majority of products and related
obligations, which generated loss for Pandatel. However, they represent a
fraction only of Pandatel's total assets. The remaining unsold product rights
such as YUMIX, SMUX, CMUX, and COP were not part of the deal due to long term
customer obligations.
