On September 7, 2009, FIL Investments International, Kent, UK, has informed us
according to Section 21, Para. 1 WpHG that its voting rights in Software AG,
Uhlandstraße 12, 64297 Darmstadt, Germany, ISIN: DE0003304002, WKN: 330400, have
exceeded the threshold of 3% of the voting rights on September 4, 2009, and on
that day amount to 3.02% (this corresponds to 863768 voting rights).
All voting rights in Software AG were attributed to FIL Investments
International according to Section 22, Para. 1, Sent. 1, No. 6 WpHG.

Notification of voting rights according to Section 21, Para. 1 WpHG

On September 7, 2009, FIL Investment Management Limited, Kent, UK, has informed
us according to Section 21, Para. 1 WpHG that its voting rights in Software AG,
Uhlandstraße 12, 64297 Darmstadt, Germany, ISIN: DE0003304002, WKN: 330400, have
exceeded the threshold of 3% of the voting rights on September 4, 2009, and on
that day amount to 3.03% (this corresponds to 866368 voting rights).
Of this amount, 0.01% (this corresponds to 2600 voting rights) is to be
attributed according to Section 22, Para. 1. Sent. 1, No. 6 WpHG and 3.02% (this

exceeded the threshold of 3% of the voting rights on September 4, 2009, and on
that day amount to 3.03% (this corresponds to 866368 voting rights).
All voting rights in Software AG were attributed to FIL Limited according to
Section 22, Para. 1, Sent. 1, No. 6 WpHG in connection with Sent. 2 WpHG.
